TERMS OF BUSINESS

How we engage with clients and counterparties.

These terms set out the basis on which Tidegate Maritime provides shipbroking, chartering and maritime advisory services. They apply to all enquiries, negotiations and fixtures handled by the firm unless otherwise agreed in writing.

1. Our role

Tidegate Maritime acts as a shipbroker and intermediary between owners, operators, charterers and other maritime counterparties. We are not a party to the charter party, contract of carriage or sale contract concluded between principals.

Unless expressly agreed in writing, Tidegate Maritime does not act as owner, operator, disponent owner, carrier, agent for the vessel or insurer, and assumes no liability for the performance of any principal.

2. Information and market indications

Freight levels, hire rates, vessel positions, cargo details and market commentary are provided in good faith on the basis of information available at the time. Such information is indicative only and does not constitute a warranty, valuation or recommendation.

Principals remain responsible for their own commercial evaluation, due diligence and decision-making.

3. Negotiations and fixtures

Offers, counters and subjects are communicated between principals through Tidegate Maritime. A fixture is concluded only when all subjects are lifted and the terms are agreed between the principals themselves.

The recap circulated by Tidegate Maritime records the terms agreed between the principals; where a recap conflicts with the signed charter party, the charter party prevails.

4. Commission

Brokerage commission is payable in accordance with the terms recorded in the recap or charter party, normally by the owner or disponent owner on freight, hire, deadfreight and demurrage as earned and paid.

Advisory or sourcing mandates outside a chartering transaction are remunerated on terms agreed in writing before work commences.

5. Confidentiality

Commercially sensitive information disclosed to Tidegate Maritime is treated as confidential and used only for the purpose of the relevant enquiry, negotiation or mandate, save where disclosure is required by law or by a competent authority.

6. Compliance

All engagements are subject to the firm's Business Conduct & Compliance principles, including counterparty and sanctions screening. Tidegate Maritime may decline or discontinue any engagement where compliance concerns arise.

7. Liability

Tidegate Maritime exercises reasonable professional care in the performance of its services. To the extent permitted by law, the firm is not liable for indirect or consequential loss, loss of profit, or for the acts, omissions, solvency or performance of any principal introduced.

8. Governing law

These terms are governed by the law expressly agreed with the client and, in the absence of such agreement, by the law of Côte d'Ivoire. Nothing in these terms affects the law and jurisdiction agreed between principals in the charter party.
